<p>Bohemiare 501c3 DBA Travel From the Inside Out Cultural Coaching Experience Agreement Terms of Purchase and Conditions Travel From the Inside Out is a nonprofit offering the Best of Italy's Hilltop Villages Cultural Experience 10-Night CCE (CCE), Francesca Elisabetta’s Mastermind Program (FEM), or Private Coaching (PC), to our clients. The terms “coach”, "we", "us", "our", and “Travel From the Inside Out” refer to Bohemiare 501c3 DBA Travel From the Inside Out, a Colorado company. The terms “client”, "you" and “traveler” refers to the individual hiring us. By clicking the “Buy Now”, “Purchase” or any other phrase on the purchase button, entering your credit card information, or otherwise enrolling, electronically, verbally, by E-signing document, or otherwise and you are entering into a legally binding agreement with us subject to the following terms and conditions: TERMS 1. Upon Execution of this Agreement, electronically, the Coach agrees to provide services in accordance with Francesca Elisabetta’s Mastermind Program (FEM), il Dolce Far Niente 10-Night CCE (CCE) or Private Coaching (PM). 2. The scope of services rendered by the Coach pursuant to this contract shall be solely limited to those contained herein. 3. Coach reserves the right to substitute services equal to or comparable to the FEM Program if reasonably required by the prevailing circumstances. 4. FEM Client agrees to be open, present, and prepared to complete work. Client is responsible for her/his own success and implementation of objectives met. 5. The FEM Program includes 1 session per month for a total of three consecutive months. Each session will last 60 minutes via Zoom or by way of a private Facebook Group, and potentially materials as the Coach sees fit. 6. Best of Italy"s Hilltops 10-Night (CCE) includes a private Facebook group where the Italian contacts will be provided, the experience details, and coaching in a small group. DISCLAIMERS. By hiring Travel From the Inside Out, the Client acknowledges that the Coach is not a medical doctor, psychologist, therapist, attorney, or financial advisor, and her services do not replace the care of other professionals. The Client understands that Travel From the Inside Out is not a travel agent, tour guide, seller of travel, or destination management company. RESPONSIBILITY. The Coach may provide the Client with information relating to products that the Coach believes might benefit the Client, but such information is not to be taken as an endorsement or recommendation. The Coach may provide Client with third-party recommendations for such services as marketing, photography, business, health, or other services such as transportation, sightseeing, restaurants, and lodging. Client agrees that these are only recommendations, and the Coach will not be held liable for the services provided by any third party to the Client and any adverse effects or consequences that may result, either directly or indirectly, from any information or services provided by a third party. RESULTS OR EXPERIENCE. Any testimonials or examples shown through Coach’s social media accounts and website are only examples of what may be possible for Client. Client acknowledges that Coach has not and does not make any representations as to a future outcome of any kind that may be derived as a result of use of Coach’s programs, website, or services. CHANGES TO THESE TERMS AND CONDITIONS. Travel From the Inside Out reserves the right, in our sole discretion, to change these terms and conditions at any time. You will be provided information regarding updated versions of the terms and conditions via email and are effective immediately. PAYMENT AND REFUND POLICY. Client agrees to pay fees to the Coach according to the payment schedule set forth between Coach and Client via email, or otherwise provided to Client, and the payment plan selected by Client (the “Fee”). Coach does not offer refunds to ensure that clients are fully committed to the FEM Program and the CCE. Client agrees to no credit card chargebacks. TRAVEL PROTECTION. It is the traveler’s responsibility to protect their purchases. For this reason, Travel Protection Coverage including additional cancellation for any reason coverage is strongly recommended. Such plan should cover Trip Cancellation or Interruption, Medical Expenses, Emergency Evacuation/Repatriation, and Baggage. Travel From the Inside Out assumes no liability for, any loss, damage, delay, or cancellation resulting in whole or in part from an Act of God or any other force majeure condition that may arise. In the circumstances amounting to force majeure, we will not be required to refund any money to you. Our coaching services do not include airfare. You must not make any air reservation until you receive confirmation from your coach that a minimum of four other clients have paid their coaching fee. Your contract for airfare is with the carrier and subject to its terms and we will not be liable for any change fees or cancellation fees or other additional costs you incur with the air carrier. If you choose to travel without adequate coverage, we will not be liable for any of your losses howsoever arising, for which trip protection plan coverage would otherwise have been available. ASSUMPTION OF RISK/WAIVER. Traveler is aware that travel may involve inherent risks. Inherent risks include, but are not limited to, risk of injury or death from motor vehicles, animals, insects, slips, falls, criminal or terrorist acts, government actions, consumption of alcoholic beverages, tainted food, or non-potable water; exposure to the elements, including heat, cold, sun, water, and wind; your own negligence and/or the negligence of others, other travelers. You voluntarily assume the risk for yourself that you may be exposed to or infected by COVID-19 by traveling and that such exposure or infection may result in personal injury, illness, permanent disability, and death. You acknowledge that exposure to such viruses or diseases is an inherent risk of traveling, which cannot be controlled or eliminated by Travel From the Inside Out. Traveler understands the description of these risks, is not complete and that unknown or unanticipated risks may result in injury, illness, or death. Traveler hereby accepts and assumes full responsibility for any and all risks and agrees to and shall hold harmless and fully release Travel From the Inside Out from any and all claims associated with the trip, including any claims of third-party negligence and/or the negligence of Travel From the Inside Out and traveler hereby covenant not to sue Travel From the Inside Out for any such claims or join any lawsuit or action that is suing Travel From the Inside Out. This agreement also binds your heirs, legal representatives, and assigns. The terms of this HOLD HARMLESS AND RELEASE OF ALL LIABILITY paragraph shall survive any termination or cancellation of this Contract, whether by operation of law or otherwise. INDEMNIFICATION. Traveler agrees to and shall indemnify and hold harmless Travel From the Inside Out, and each of our officers, directors, employees, and agents (collectively “Travel From the Inside Out”), from any expenses, losses, liabilities, damages, judgments, settlements and costs (collectively, “damages”) involved with or incurred by Travel From the Inside Out (including, without limitation, reasonable attorneys’ fees and the advancement of same) with respect to any claims, lawsuits, arbitrations, or other causes of action, which result, directly or indirectly, from: (i) traveler’s breach or violation, or threatened breach or violation, of this Agreement and (ii) Any damage caused by traveler while participating in the trip. LIMITATION OF LIABILITY. By using any services and purchasing this FEM Program, CCE, or PC, Client accepts any and all risks, foreseeable, arising from such transaction. Client agrees that Coach will not be held liable for any damages of any kind resulting or arising from including but not limited to; direct, indirect, incidental, special, negligent, consequential, or exemplary damages happening from the use or misuse of the FEM Program. Client expressly waives any right to punitive damages. DISABILITIES AND HEALTH ISSUES. The nature of the destinations we travel to means that in all cases, they are unsuitable for those who use a wheelchair or have a lack of mobility. Our CONTACTS are, unfortunately, unable to offer additional assistance to travelers with limited mobility. For the safety of our guests, Travel From the Inside Out reserves the right to request health information prior to travel and to exclude any participants it deems unfit for travel at its sole discretion. PHOTOGRAPHIC/VIDEO LIKENESS. Traveler hereby gives consent to Travel From the Inside Out to publish any photographs and/or videos of the trip without obtaining further consent, without compensation, and releases Travel From the Inside Out from any liability in connection with the use of photographs and/or video. GOOD FAITH. Each party represents and warrants to the other that such party has acted in good faith, and agrees to continue to so act, in the negotiation, execution, delivery, performance, and any termination of this Agreement. DISPUTE RESOLUTION. If a dispute is not resolved first by good-faith negotiation between the parties to this Agreement, any controversy or dispute to this Agreement will be submitted to the American Arbitration Association. The arbitration shall occur within ninety (90) days from the date of the initial arbitration demand and shall take place in Colorado or via telephone. The Parties shall cooperate in exchanging and expediting discovery as part of the arbitration process is completed within the ninety (90) day period. The written decision of the arbitrators (which will provide for the payment of costs, including attorney fees) will be absolutely binding and conclusive and not subject to judicial review and may be entered and enforced in any court of proper jurisdiction, either as a judgment of law or decree in equity, as circumstances may indicate. This Agreement shall be governed by and construed in accordance with the laws of the State of Colorado, within Jefferson County regardless of the conflict of laws and principles thereof. ENTIRE AGREEMENT. This Agreement contains the entire agreement between the parties and supersedes all prior agreements between the parties, whether written or oral.
